Suggested Guidelines for Antitrust Compliance

In antitrust cases, whether criminal prosecutions or civil treble damage suits, proof against the defendant is most likely to come from the defendant or his associates. Thus, an antitrust compliance program must not only avoid actual violations of antitrust laws, but also avoid creating or permitting the creation of files, records, documents, statements or conversations which might create an appearance of violation.

 

It is impossible, of course, to formulate a set of guidelines to cover all situations at all times, but insofar as the principles of antitrust compliance can be stated in specific rules, REALTORS® and REALTOR- Associates® would be well advised to remember the

following:

 

Do not discuss your business with competitors. At any time, in any place, or under any circumstances, do not have any personal, telephone or e-mail conversations with competitors concerning commissions, fees, charges or any other business practices of your real estate business or those of the firm with which you are associated. This applies at social gatherings, on the golf course, while hunting, in the bar, cocktail parties, board functions and at all times and in all places. At association or board meetings, confine discussions to topics of association or board business directly involved in the purpose of the organization and the meeting.

 

Written communication must be clear and explicit. When you discuss a real estate transaction or the superiority of your business practices over your business competitors, talk only to your broker or associates in the firm with which you are associated. Regardless of how carefully you may phrase your letter or memorandum, things look much different in writing than they sound when spoken between knowledgeable people.

 

Of course, financial and economic data sometimes must be written, but in many instances, any information relevant to business or legal relations can be communicated by talking, and talking only to those who have legitimate justification for receiving the information you are transmitting. More than one antitrust defendant has had his letter, correspondence, memoranda and written notes admitted in evidence against him for purposes for which the writer never intended. It is amazing how differently what you wrote sounds when it is read back to you in the grand jury room or during trial.

 

Do not talk unless you know who you’re talking to and what you’re talking about. In any business, complete candor among trusted business associates is necessary. It is not necessary, however, to tell everyone your business. In form only those who need to know such matters as how and in what manner commission or fee contracts were negotiated, how much business you’re doing, what business prospects are, how many and which properties you have sold, and anything else which might be of interest to someone investigating your business for a reason you know nothing about.

 

If you receive a telephone call from anyone who refuses to identify himself or who begins what amounts to a probing cross examination about your business practices, terminate the conversation as quickly and courteously as possible. In this day of ever-improved recording devices for both telephone use and miniature recording devices easily concealed in a room or on the person of an investigator, it is well to make it a rule in discussing business matters to speak as if you were being recorded. The chances are better than you think they are!

 

Remember cellular telephone calls are transmitted over the open air and thus are subject to being intercepted or overheard. A Third party may intentionally be privy to those conversations.

 

 

Do not deceive yourself or let anyone else deceive you into believing that any transgression of the antitrust laws has little risk involved. The federal government possesses extensive investigatory powers, such as grand juries and civil investigative demands, as well as ingenious and dedicated investigators. Also, in private litigation, parties have litigation discovery tools to examine corporate or firm records and documents and to compel testimony. Even though an antitrust violator may not keep records, its competitors or the injured parties may. In this age of photocopying, it is difficult to restrict distribution. Unexpected records such as telephone bills, expense accounts, a secretary’s notes, engagement calendars or a forgotten written report may be uncovered. Also, your computer’s hard drive may be the source of potential information even when you think the information has been erased. If prosecuted or sued for antitrust violations, you may be faced with surprise witnesses such as former associates and employees and plea bargainers. Also, an alleged co-conspirator may take advantage of the antitrust division’s leniency program and confess, thus perhaps avoiding indictment, a jail sentence and fines and keeping the tax deductibility of civil damage payments.

 

Do not use such terms as "Please Destroy When Read", "For Your Eyes Only", "No Copies", or similar terms and phrases. Experience has demonstrated that even if no copies are made, the original of such documents eventually end up in somebody’s file. Even when marked "personal and confidential", the document is usually retained by the recipient and eventually filed. When an antitrust investigation is under way or documents are produced on a civil investigative demand or in private antitrust litigation, such terms and phrases are red flags for the investigator or opposing counsel.

 

Do not at any time use any of the words and phrases which IAR’s Program for Compliance designates ad Dangerous. Since such statements are so dangerous, they need to be emphasized here along with some other similar words and phrases:

 

v "We would like to charge a lower commission, but the board has a rule…"

v "This is the rate that all REALTORS® charge."

v "The MLS will not accept a listing for less than 120 days."

v "Before you list with XYZ Realty, you should know that nobody is going to work on

their listings."

v "If John Doe is really professional (orr ethical) he would have joined the board."

v "The board requires that all REALTORS® force their sales people to join."

v "The best way to deal with John Doe is to boycott him, "or "We don’t worry about

John Doe; we just don’t show his listings."

v "If you valued your services as a professional, you wouldn’t cut your commissions."

v "If X is going to cut his commissions, we’ll just pay him less on splits."

v "No board member will accept a listing for less than 90 days."

v "Let him stay in his own part of town, this is our territory."

v "If he was really a professional, he wouldn’t use part-timers."

v "X is the going rate in this area."

v "We have to charge that commission since our rates are set by the Illinois Real Estate

Commission."

v "The standard commission in this area is X."

v "When I see that guy’s signs, I just drive the prospect down another street."

v "We’ve agreed that any commission below X is unfair."

v "Something has got to be done about that company; nobody can charge such a low

commission and make a living."

v "That price-cutter has no business being amemberr of the board."

v "You will not get a lower commission from a REALTOR®."

If in doubt, consult. No compliance program or manual can spell out all of the answers to questions which may arise. Situations are bound to arise which create doubt. If you do have doubts about the legal wisdom of any board or business practice, procedure or activity, consult your board executive officer, the broker under whose license you work or legal counsel knowledgeable about antitrust matters.

 

Without clearance: Don’t Do It. If neither the board executive officer, an executive officer of your firm nor legal counsel will give clearance to a proposed business deal or activity with antitrust implications—don’t do it.

 

Conclusion

 

Effective antitrust compliance is a responsibility of management. If officers, directors, board executives, real estate firm executives, staff level employees and leaders of the industry do not take seriously the necessity for continuing to emphasize and re-emphasize antiturst compliance programs, policies, practices and procedures the message will never get to the membership.

 

Under IAR’s policy, antitrust compliance is not a choice, it is a command. The risks are too high for any real estate broker to remain part of an organization which fails to enforce its antitrust compliance program. Lawyers can help with designing compliance guidelines or advising on antitrust compliance matters when they arise, but in the final analysis it will be IAR and local associations of REALTORS®’ Executive Officers, MLS Committees, Professional Standard Committees, Arbitration and Membership Committees who will have to act as the first line of defense against the costs and consequences inherent in failure of antitrust compliance.

 

However, it remains the responsibility of every member of IAR to support and implement this Antitrust Compliance Program and demonstrate that REALTORS® are true to that which they profess to believe, the free enterprise system is the best ever devised to secure our economic and personal freedom.

For us officers, we also had to attend business meetings. DELEGATE BODY DECISIONS:

MIDWINTER BUSINESS MEETINGS ELIMINATED. . .NAR's Delegate Body voted to eliminate Midwinter Business Meetings beginning in year 2000.

 

OFFICE OF FIRST VICE PRESIDENT RESTORED. . .NAR's Delegate Body restored Office of First Vice President, one of top elected posts in association. Vote reversed decision made last year by delegates to eliminate office.

Delegate Body also approved:

--Constitutional change to permit NAR institutes, societies, and councils to take contradictory lobbying positions to those of NAR as long as NAR

and affiliate first work toward a united voice.

--Code of Ethics changes to prohibit REALTORS from accepting commissions or other income or making expenditures on behalf of their client without

their client's knowledge, and to require NAR members to disclose any benefit they receive from any service they recommend to clients.

 

KEY BOARD OF DIRECTORS ACTIONS: CODE ENFORCEMENT STRENGTHENED. . .Approved: Measure that will lead to 16 changes to improve adherence to and enforcement of NAR's Code of Ethics, including a requirement that applicants for REALTOR®

membership complete Code of Ethics orientation and that NAR permit publication of the names of ethics violators after a second violation within three years. Recommendations now go back to committee for direction on implementation. Board will revisit issues next year to vote on implementation plans. Jan. 1, 1999

--E-Commerce. To allocate $2.5 million to implement an electronic commerce function within NRDS that would allow members to pay dues, buy products online

FYI-American Home Shield Announces a New

Errors and Omissions

Insurance Program

American Home Shield has partnered with two industry leaders to provide an extensive new Errors & Omissions insurance program for real estate professionals. The new policy includes: "A" rated insurance carrier, First Dollar Defense coverage, Discrimination and Pollution coverage and Insured owned property coverage. For more info call 1-800-735-4663.

 

Dues are due…

The annual dues have been sent to each member via their office. If you have not received a copy of your bill, please call the association office at 480-7177. The amount is the same which North Shore members paid last year. There has been an additional $15 added by NAR for the advertising campaign you have seen on the networks. This charge will be on the 2000 and 2001 bills. The first quarter MLS fees of $119 will be sent to each member the first weekend in January. Again, if you do not receive the bill, let us know. Former Barrington members will receive their bills by delivery at their office. If you have any questions, call Terry or Kim.

 

New Examination Section for the Real Estate Division

Real Estate Division of Office of Banks and Real Estate will be assigning examiners who will be visiting your offices. The examiners will meet with the managing broker of the office to inspect financial records, deal files, licenses, etc. The inspection will determine if the office is in compliance with the requirements of the Real Estate License Act and the Administrative Rules and Regulations. The inspection will be performed as an added service to the licensees and provide assistance and give recommendations to the managing brokers that may have questions.

 

There are twelve important issues that the examiner will cover with the managing broker:

1. Verify that all employees performing real estate activities hold a valid real estate license.

2. Are all the licenses current and are they displayed in a conspicuous place in the office?

3. Does the licensee have a definite place of business? Is there conspicuously displayed identification sign on the outside of the office?

4. Verify that all advertisement currently used is being published in accordance with the Licensing Act and Administrative Rules.

5. Verify that the stationary is free of misrepresentation.

6. Does the office maintain an Escrow Account(s)? Obtain all identifying details of the escrow account. Are there monthly reconciliation of the escrow accounts? Are there reconciled ledgers? Are there reconciled Bank Statements? The examiner will need to collect copies of the above.

7. Examine all accounts thoroughly to verify the broker is not commingling the escrow funds with their personal funds.

8. In offices that manage real estate and handle brokerage, verify that they manage separate analyses and/or breakdowns in order to determine the proper ownership of the funds.

9. Does the office have written agreements with each broker and salesperson who is employed by the company?

10. Is the exclusive listing agreement being used in compliance with the requirements of the Administrative Rules regarding terminology and bold print requirements?

11. Is the Corporate Charter, Limited Partner Registration, Minute Books being maintained in agreement with the Real Estate Licenses that are issued. Are all active officers licensed, and no more than 49% of the ownership owned by a salesperson?

12. Are the new residential leasing personnel properly registered/licensed with OBRE?

 

We recommend that you take steps to check that your personnel are properly licensed and have employment agreements. Further, properly maintain and reconcile your escrow accounts.

NAR Launches Commercial

Real Estate Site

(Washington)—The NAR and its Web partner RealSelect have launched a new commercial real estate site designed to provide commercial brokers with a repository of listings, as well as links to other sites. The site,

is accessible through REALTOR.com. The site includes six channels of information: property listings; financing sources; daily news updates; a products and services center; industry resources; and another channel for NAR resources, such as legislative updates. Ò

 

 

The Value of Conventions…

Over the past few months, the Illinois

Association of REALTORSâ and the National Association of REALTORSâ have had their annual conventions. Several of our members have taken advantage of the opportunities to participate in these events. As I follow up with these members to gather information to share with all of you, there are many similarities in the comments when asked the question, "What value do state, national and local conventions bring to your business?"

 

Here are the Top 10 Reasons why our members attend conventions…

Although the grandfather clause is being challenged and may be removed from the license law it is still in existence. When the license changes occur, we will inform all of you. Send an Email hyperlink to a person who uses AOL.

The following method will print a highlighted, clickable link in an AOL Email for the recipient using AOL. First I list how a hyperlink is typed in regular email. That is you are sending to a person using an ISP and Netscape or MS Explorer email packages. The link will show up in a different color and the mouse pointer will change into a pointing finger on the link text. Clicking the link will send the user to the URL on the Web.

MLS is on the Internet

That's right, the first of October, MLSNI and Moore Data opened up access to the MLS via the internet. That means that with any browser software, Netscape or Internet Eggsplorer, you could search for listings. All listings are there and when you first log into to the MLS website you must fill in your MLS ID and Password. Since this is "web based", the look is completely different than you regular MLS software, Landmark or PC Access. You can however pull up a one line report and photos as well as making up custom reports tailored to your needs.

 

PC Access version 4.3

The latest "build" or version of PC Access is 4.3. The improvements are mostly for us Compass users. This update should be available by the end of this year. I don't know for sure but we should be able to download the update from the Internet. I saw this version at the NAR convention last month. Emailing via the internet was good and there is a chance we'll get Flyer templates if MLSNI signs on for a license. We'll keep you posted when it arrives.

Log off MLS correctly

Please folks, when you log off of the MLS you must do it correctly or else you'll possibly be locked out. DON'T click the "Bye" button" in PC Access. Regardless of the software you use, always use <F8> to log off. If you find that you can't login because you get a message that says, "You're all ready logged in on another computer" call MLSNI to RESET your ID. Call MLSNI at 1(630)955-2755.

 

Internet info

Watch for an announcement from the board about an Internet seminar. Lori and I attended a nice seminar last month and learned some neat stuff. We want to pass that info on to our members. Basically it's about how you can make the Internet work for you and make more money.

 

Recommended Computers to buy

Due to problems I've seen with brand new Hewlett Packard PC's, I am no longer recommending them. I am back to my firm belief that anything but a mail order PC is trouble. IE: Gateway, Micron are the only computers to buy. The one exception is laptops. Toshiba makes a good laptop and appears to still support their equipment. We recommend you call CDW at 847-465-6000. Our contact at CDW, Rolando, no longer works there so you're on your own but I still think they are the best local store to try. Remember, Computer City closed. I called that event two years ago because their service was so poor. Don't underestimate service.

I no longer recommend Dell computers because they want to discontinue their support and are going after the business market. Support is a big deal to everyone and if Dell cuts back on their support I can't in good conscious recommend them. If you really want Dell I suggest you get in writing that they will answer your phone questions after one year.

 

New Microsoft Real Estate Web Site

That's right. Microsoft launched their much-feared foray into online real estate in mid-July. The site is www.homeadvisor.com. Microsoft wants Realtors to believe that they are a "Realtor friendly" site. Do check out the site because your customers are going to know about it. You should be familiar with it so that you can help the customer find truly helpful information using your services instead of being manipulated by a self-serving monopoly.

 

Internet Access ISP

The board just switched to using Microsoft Windows NT for our network and has successfully connected the Barrington office to our NT server in Northbrook. To do so required the services of an ISP who could provide setup and connections between Barrington and Northbrook. We are looking for another local ISP to serve us and do a better job.

We want to offer a good deal to members who are looking for fast reliable access to the Internet. Stay tuned.

 

Change in Withdrawn mode

Some agents still don't know that MLSNI has made a change to the old mode of "Withdrawn". This is the status of a listing that is temporarily off market but still under the control of the listing agent. The new status name is the more sensible, TEMP, short for "temporarily off market"

If you need to change the status to TOM the mode name is TEMP.

 

NAR Anaheim Convention Report

I just got back from Sunny California and the NAR national convention. Lots of new stuff to see and technology never stops. All the usual suspects were there, ie: Moore, Interealty, Top Producer, On Line Agent. Everyone is going Internet. Connectivity to the Internet is where everything is headed and it showed at NAR. I spent a good deal of time at Moore trying to see if the MLS Explorer would work for MLS access via the Internet. I have been trying it for the past two months and there are problems. It's slow but that may improve. My main complaint is that the printing is a mess. Moore showed me that printing worked fairly well on their site in Atlanta. Granted, MLSNI is only testing the software so I'm keeping an open mind. Printing here via the Explorer is still a mess.

The advantage of using this software is that it works with YOUR Internet browser. That means that either Microsoft Internet Eggsplorer of Netscape Browser will connect to the MLS. So if you're on the Internet then you're ready to go. The interface takes some getting used to, but you can download to a spreadsheet automatically which is nice if it worked for MLSNI. It worked great for Atlanta's MLS.

Digital Photos

Another hot item at NAR was digital cameras. Boy they were everywhere. I think next year is the year that sees 35-mm film really start to fade. The key to buying a digital camera today is to make sure that you get a "megapixel" camera. That means that the quality has over one million bits of info per photo and the quality is very good. Close-ups of faces or interior house shots look great and print just as well.

These high quality cameras now start at about $500 and go up as high as you like. The key again is "megapixel". There are lots of ways to get the photo from the camera to the computer. The most popular is with a supplied cord. Sony does offer their camera that uses a regular floppy disk but the quality is not quite as good as others.

The Board is offering a class this month on taking digital photos with Terry's new camera and then how to get the photos into a computer and what to do with the photo once it gets there.

Penza honored

At the recent NAR convention several association executives were inducted into the new Leadership Society including our Terry Penza. A new award, the Bud Smith Leadership Society was conferred for the first time. The award is to recognize association executives who have excelled in the profession of REALTOR® association management and have advanced and promoted the purposes of the REALTOR® organization through personal involvement in the local, state, or national levels.

 

Terry was also recently appointed to the NAR Board of Directors. With the new director formation, 4 association executives serve; one from a state, one from a local board, one from the regional MLS and the Chairman of the Associations committee. Terry is the selection for a local Board. Congratulations, Terry.

 

Y2K

Have you made your electronic plans for the year 2000? If you are planning to test your computer — back up first! Many software packages will also be affected especially programs written for real estate. Check the internet page for the computer specific or programs.

 

Potentially there are other dates prior to 1-1-2000 which will affect anything with an embedded chip (thermostats, airbags, VCRs, washers and dryers, elevators, alarm systems, to just name a few). Many embedded chips use 9999 for a test mode.

You should check with your vendor or car dealer to review areas of concern.

 

For those agents/offices still using the original Zenith computer we gave out in 1996, you should know that those systems will not have the capability of upgrading. Software which is DOS based will also have problems.

 

The issue is that there are only 2 digits in the year, therefore, on January 1, 2000 the computer will think it is January 1, 1900 – only 100 years off the target.

Whew! The election is now history, so, too, the heavy schedule of fundraisers, coffees, dinners, open houses, etc. that the politically involved REALTORS® have been scrambling to attend. It’s worth it. Both NAR and IAR saw good legislative results for our business, in large part helped by your contacts with legislators. Also by your support of RPAC (Illinois is one of 14 states to exceed there goal).
